Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ZeroDriveX website, the ZDX Auth Platform, the zdxai CLI, and all related services (collectively, "Services"). By using our Services, you agree to be bound by these Terms and our Privacy Policy.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Accounts

Some Services require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized access. You may not share, sell, or transfer your account.

3. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to bypass rate limits, quotas, security controls, or session management.
• Use the zdxai CLI to generate, distribute, or act on harmful, illegal, or infringing content.
• Reverse-engineer, decompile, or extract proprietary components of the Services.
• Use the Services to scan, probe, or attack third-party systems without written authorization from the target owner.
• Misrepresent your identity or impersonate others.

If you wish to use ZDX scanning tools against third-party systems, you must accept the Scanner Agreement and provide verifiable proof of authorization. Unauthorized scanning is strictly prohibited.

4. zdxai CLI — License Terms

The zdxai CLI is licensed software. A valid license key is required. Free tier is limited to evaluation use. Developer ($9.99/mo) and Enterprise ($199.99/mo) subscriptions are available. Licenses are non-transferable and tied to your account. See the full EULA for complete license terms.

You are solely responsible for verifying the accuracy, completeness, and legality of any output generated by AI models accessed through the zdxai CLI.

5. Payments and Subscriptions

Paid features are billed via Stripe. All fees are in USD and non-refundable unless required by applicable law. Subscriptions auto-renew until cancelled. Failure to pay may result in immediate suspension or termination of access to paid features. You can manage or cancel subscriptions through your account or by contacting us.

6. Content Ownership

Content you submit (including prompts, data, and files) remains yours. You grant ZDX a limited license to store and process your content solely to provide the Services. You must not submit unlawful, harmful, or infringing content. ZDX will not use your content to train general-purpose AI models without your explicit consent.

7. Intellectual Property

The Services, codebase (excluding open-source components), brand, documentation, and proprietary models are the exclusive property of ZeroDriveX and its licensors. No rights are granted except as expressly stated. Open-source components remain subject to their respective licenses.

8. Third-Party Services

The Services integrate with third-party providers including Stripe (payments), Vercel (hosting), Gmail SMTP (email), and AI model providers (Anthropic, OpenAI, Google, xAI). ZDX is not responsible for the operation, availability, or compliance of these third-party services. Your use of them is subject to their own terms.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. ZDX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ZDX DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, ALWAYS AVAILABLE, OR THAT AI/LLM OUTPUTS WILL BE ACCURATE OR COMPLETE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZDX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ZDX'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRIOR TO THE CLAIM.

11. Indemnification

You agree to indemnify and hold ZDX harmless from any claims, damages, or costs (including legal fees) arising from your use of the Services, your content, any third-party claims related to your scanning activities, or your violation of these Terms.

12. Termination

ZDX may suspend or terminate your access immediately for violations of these Terms, non-payment, fraud, or where continued use poses a security or legal risk. Upon termination, your license ends immediately. Sections on IP, Disclaimers, Liability, and Indemnification survive termination.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA. Disputes shall be resolved exclusively in the state or federal courts located in Delaware.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the site. Continued use after such notice constitutes acceptance.

15. Hosting & Infrastructure

This website is hosted on Vercel. Infrastructure-level policies are governed by Vercel's Terms of Service.
