End User License Agreement

1. License Grant

ZeroDriveX (“ZDX”) grants you a limited, non-exclusive, non-transferable, revocable license to access and use the ZDX platform, runtimes, agents, APIs, and integrated tools (collectively, the “Services”) solely for lawful internal business or personal purposes in accordance with this EULA.

2. Account & Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction). You are responsible for safeguarding credentials and all activity conducted under your account. If using the Services on behalf of an organization, you represent that you have authority to bind that entity to these terms.

3. Acceptable Use & Security

• Prohibited Content: No illegal activity, harassment, abuse, spam, fraud, or intellectual property violations.
• Security Integrity: No attempts to bypass quotas, rate limits, audit controls, licensing systems, or security protections.
• Scanning & Security Tools: Use of ZDX for network or security scanning must comply with the applicable Scanner Agreement. Proof of authorization is required for third-party targets.
• AI/LLM Output: You are solely responsible for verifying the legality, safety, and accuracy of any output generated by AI components.

4. Data Ownership & Privacy

ZDX processes data in accordance with the Privacy Policy.

• User Content: You retain ownership of all data, prompts, and materials you submit.
• Operational Data: ZDX may process logs, telemetry, and system metadata solely to operate, secure, and improve the Services.
• No Model Training Without Consent: ZDX does not use your content to train general-purpose AI systems without explicit consent.

5. Plans & Billing

Certain features require paid plans. Fees are non-refundable unless required by law. Failure to pay may result in suspension or termination. See available plans on the Products page.

6. Intellectual Property

The Services, proprietary software, branding, documentation, and associated materials are owned by ZDX and its licensors. Open-source components remain governed by their respective licenses.

7. Third-Party Services

Integrations and external APIs are subject to their own terms. ZDX is not responsible for third-party service availability or compliance.

8. Disclaimer

THE SERVICES, INCLUDING AI OUTPUTS AND SECURITY SCAN RESULTS, ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. ZDX DOES NOT GUARANTEE ACCURACY, RELIABILITY, OR UNINTERRUPTED ACCESS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZDX SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA OR PROFITS.

10. Indemnification

You agree to indemnify and hold ZDX harmless from claims arising from your use of the Services, violation of this EULA, or unauthorized scanning activities.

11. Compliance & Export

You agree to comply with all applicable export control, sanctions, and regulatory requirements of the United States and relevant jurisdictions.

12. Termination

ZDX may suspend or terminate access for violations, fraud, non-payment, or security risk. Upon termination, your license ends immediately.

13. Governing Law

This EULA is governed by the laws of the State of Delaware, USA. Disputes shall be resolved in Delaware courts.

14. Changes to Terms

ZDX may update this EULA. Continued use after changes constitutes acceptance of the revised terms.
