End User License Agreement

1. License Grant

ZeroDriveX (“ZDX”) grants you a limited, non-exclusive, non-transferable, revocable license to access and use the ZDX platform, runtimes, agents, and tools (collectively, the “Services”) in accordance with this EULA.

2. Account & Eligibility

You are responsible for account activity and securing your credentials. Enterprise users must ensure use complies with their internal policies.

3. Acceptable Use

• No illegal content, abuse, harassment, spam, or rights violations.
• No attempts to bypass rate limits, quotas, audit controls, or security.
• Scanning and security tooling must follow the Scanner Agreement, including proof of authorization for any third-party targets.

4. Data Handling & Privacy

ZDX processes data according to the Privacy Policy. Operational logs may include device info, IP, timestamps, and audit events for safety, troubleshooting, and compliance. You retain ownership of your content.

5. Plans, Billing, and Upgrades

Some features (e.g., persistence, advanced settings, custom agents) are available via paid plans. See your billing page. Fees are non-refundable unless required by law.

6. Intellectual Property

The Services, documentation, models, and associated materials are the intellectual property of ZDX and its licensors. No rights are granted except as expressly stated.

7. Third-Party Services

Integrations may be provided by third parties and are subject to their terms. ZDX is not responsible for third-party services.

8. Disclaimer; No Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ZDX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZDX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, EVEN IF ADVISED OF THE POSSIBILITY.

10. Indemnification

You agree to indemnify and hold ZDX harmless from claims arising out of your use of the Services, your content, or your violation of this EULA or applicable law.

11. Export, Sanctions & Compliance

You must comply with applicable export, sanctions, and embargo laws and ensure the Services are not used in prohibited regions or by prohibited parties.

12. Termination

ZDX may suspend or terminate access for violations, fraud, or risk. Upon termination, your license ends and you must cease using the Services.

13. Governing Law & Venue

This EULA is governed by the laws of the State of Delaware, USA, without regard to conflict of laws. Venue: state or federal courts in Delaware.

14. Changes

We may update this EULA. Continued use after an update constitutes acceptance of the changes.
