End User License Agreement

1. License Grant

ZeroDriveX (“ZDX”) grants you a limited, non-exclusive, non-transferable, revocable license to access and use the ZDX platform, runtimes, agents, API, and integrated tools (collectively, the “Services”) solely for your internal business purposes and in accordance with this EULA.

2. Account & Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use the Services. You are responsible for account activity and securing your credentials. If using the Services on behalf of an organization, you represent that you have the authority to bind the organization to these terms.

3. Acceptable Use & Security

• **Prohibited Content:** No illegal content, abuse, harassment, spam, or rights violations.
• **Security Integrity:** No attempts to bypass rate limits, quotas, audit controls, security features, or connection pooling limits.
• **Scanning & Security Tools:** The use of ZDX for network or security scanning must strictly adhere to the Scanner Agreement, including mandatory proof of authorization for any third-party targets. Unauthorized scanning is prohibited.
• **AI/LLM Output:** You are solely responsible for verifying the accuracy, completeness, and legality of any output or content generated by ZDX's integrated AI or LLM components before relying on or distributing it.

4. Data Ownership, Handling, and Privacy

ZDX processes data according to the Privacy Policy.

• **User Content Ownership:** You retain all ownership rights in the content, data, and models you input into the Services (“User Content”).
• **Service Data Usage:** You grant ZDX a license to use User Content, operational logs (including device info, IP, timestamps, and audit events), and performance data solely for the purposes of providing, securing, troubleshooting, and improving the Services, and for compliance. **ZDX will not use User Content to train general-purpose AI models without your explicit consent.**

5. Plans, Billing, and Upgrades

Certain features (e.g., persistence, advanced settings, custom agents, elevated API quotas, or encryption layers) are available via paid subscription plans. See your billing page. Fees are non-refundable unless explicitly required by applicable law. Failure to pay may result in suspension or termination of access.

6. Intellectual Property & Open Source

The Services, documentation, proprietary models, code (excluding third-party open-source components), and associated materials are the sole intellectual property of ZDX and its licensors.

• **Open Source Components:** The Services incorporate various open-source software components. Your use of the Services is also subject to the terms of the applicable open-source licenses, which can be found in the Services' documentation.
• No rights are granted to you except as expressly stated herein.

7. Third-Party Services & APIs

Integrations, third-party APIs, and external services may be provided or linked within the Services and are subject to their respective terms and conditions. ZDX is not responsible for the operation, content, or compliance of third-party services.

8. Disclaimer; No Warranties (Specific to AI/Tools)

THE SERVICES, INCLUDING ALL AI/LLM OUTPUTS AND SECURITY SCANNING RESULTS, ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ZDX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. **ZDX does not warrant that the Services will be free of errors, always available, or that AI/LLM outputs will be accurate, reliable, or complete.**

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZDX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING FROM THE USE OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

10. Indemnification

You agree to indemnify, defend, and hold ZDX harmless from and against any and all claims, damages, liabilities, and costs (including reasonable attorneys’ fees) arising out of your use of the Services, your User Content, any third-party claims related to your scanning activities, or your violation of this EULA or applicable law.

11. Export, Sanctions & Compliance

You must strictly comply with all applicable export, sanctions, and embargo laws of the United States and any other relevant jurisdiction. You warrant that the Services will not be used in prohibited regions or by prohibited parties as designated by government authorities.

12. Termination

ZDX may suspend or terminate your access immediately for any violation of these terms, fraud, failure to pay, or if continued use poses a security or legal risk. Upon termination, your license ends and you must cease all use of the Services. Any provisions intended to survive termination (including IP, Disclaimers, Liability, and Indemnification) shall remain in effect.

13. Governing Law & Venue

This EULA is governed by the internal laws of the State of Delaware, USA, without regard to its conflict of laws principles. You agree that any dispute arising from or relating to this EULA will be exclusively resolved in the state or federal courts located in Delaware.

14. Changes

We reserve the right to modify or replace this EULA at any time. We will provide notice of material changes on our website or through the Services. Your continued use after such notice constitutes acceptance of the changes.
